Mergers & Acquisitions

Creative structuring of mergers and acquisitions is a hallmark of Adejumo, Ekisola & Ezeani. In Nigeria, the firm's mergers and acquisitions practice is selectively positioned to grow substantially or commensurately with the Mergers & Acquisitions growth in the economy. As one of the most promising law firms in Nigeria in international transactions, Adejumo Ekisola & Ezeani has taken the lead in devising creative deal structures, designing acquisition programs and planning and implementing strategies for both acquirers and potential acquisition targets in local and  cross-border transactions. These transactions often involve global due diligence and regulatory approvals, particularly from  regulatory  authorities.

In negotiating mergers and partnering deals, our attorneys emphasize creative solutions that resolve business problems while taking advantage of business opportunities. We represent bidders, dealer managers, and financial advisors in all phases of merger and acquisition transactions including:

  • acquisition and divestiture of public and private companies
  • "going private" transactions
  • the structuring and formation of strategic joint ventures
  • advising financial and allied  intermediaries in evaluating and facilitating transactions

We participated in and advised on one of, if not the most complex merger transaction in Nigerian history, consisting of  a quadruple merger and fusion of four companies into one. We along side  IBTC   Plc  ( a leading Nigerian merchant bank)  advised on this transaction.  We were able to successfully effect this objective in a relatively seamless manner irrespective of its complexities.
